ACCESS TO THE WEBSITE (as defined below) IS LIMITED TO SHELL OIL PRODUCTS US ("SOPUS", "Company", "we", "our" or "us"), ITS WHOLESALE CUSTOMERS ("Wholesalers"), RETAIL DEALERS ("Retailers") AND EMPLOYEES OF THE RESPECTIVE WHOLESALERS AND RETAILERS (collectively, "Authorized Users"). If you are not an Authorized User, you must refrain from registering for, accessing, or using the Website. SOPUS reserves all rights and remedies under applicable law arising from unauthorized use of the Website.

2. Acceptance of the Terms of Use

3. Changes to the Terms of Use

SOPUS may revise and update these Terms from time to time and in our sole discretion We may change these Terms at any time without notice, effective upon posting the amended Terms and Conditions of Use to the Website. In the event that the Terms are amended, you may be asked to accept those revised Terms when you next use the Website. Any use of the Website thereafter will be on the basis of those revised Terms.

4. Acknowledgments

By accepting these Terms of Use, you acknowledge your understanding that:

1. Your access to, use of, or interaction with (collectively, “Use”) the Website and the Content is voluntary as between you and SOPUS;

From time to time, SOPUS may use the Website to communicate issues related to our systems and programs but will not direct the manner or means in which you accomplish your operations, day to day tasks or activities.

SOPUS DOES CURRENTLY OWN, OPERATE, AND MANAGE SHELL-BRANDED RETAIL OUTLETS IN THE UNITED STATES (the “SOPUS Owned Retail Outlets”), SOPUS DOES CONTROL, OVERSEE AND DICTATE THE DAY TO DAY OPERATIONS AT THE SHELL OWNED RETAIL OUTLETS. HOWEVER, FOR THE VAST MAJORITY OF OUTLETS, SOPUS SELLS MOTOR FUELS TO WHOLESALE COMPANIES THAT IN TURN RE-SELL MOTOR FUEL TO RETAIL OUTLETS THAT HAVE BEEN PERMITTED TO DISPLAY “SHELL” MARKS OR IDENTIFICATIONS (the “Retail Outlets”). UNLESS YOU ARE EMPLOYED AT A SOPUS OWNED RETAIL OUTLET, NEITHER YOU NOR YOUR EMPLOYER ARE AN EMPLOYEE, AGENT, OR PARTNER OF SOPUS, ITS AFFILIATES OR ITS PARENT COMPANY, AND NO EMPLOYMENT OR AGENCY RELATIONSHIP IS CREATED BY YOUR USE OF THE WEBSITE OR THE CONTENT;

4. To the extent you Use the Website or the Content, said Use must be pursuant to the direction of your employer;

5. SOPUS does not control the manner or means by which you Use the Website or the Content;

6. Your employer is solely responsible for the terms and conditions of your employment, including but not limited to those terms and conditions of employment which may be associated with your Use of the Website and the Content, so please check with your employer or review your employer’s policies regarding Use of the Website;

7. SOPUS will not be responsible for any costs, including but not limited to data charges or fees, associated with use of your personal mobile device to Use the Website or its Content; and

8. Shell Oil Products US, its parent company and various affiliates are separate legal entities. When you Use the Content, “Shell” is sometimes used for convenience where references are made to those entities individually or collectively. Likewise, the words “we”, “us” and “our” may also be used. These references do not reflect the operational or corporate structure of, or the relationship between SOPUS, its parent company and its various affiliates.

15. Assignment
