Terms of Use required by SOPUS for any person accessing or using the Shell Ready website to the extent the Website is accessed or used in relation to documents, materials or other content primarily related to SOPUS or the Shell brand in general.

ACCESS TO THE WEBSITE (as defined below) IS LIMITED TO SHELL OIL PRODUCTS US ("SOPUS", "Company", "we", "our" or "us"), ITS WHOLESALE CUSTOMERS ("Wholesalers"), RETAIL DEALERS ("Retailers") AND EMPLOYEES OF THE RESPECTIVE WHOLESALERS AND RETAILERS (collectively, "Authorized Users"). If you are not an Authorized User, you must refrain from registering for, accessing, or using the Website. SOPUS reserves all rights and remedies under applicable law arising from unauthorized use of the Website.

2. Acceptance of the Terms of Use

These Terms of Use are required by SOPUS for any person accessing or using the Shell Ready website https://www.retailerbrandorientation.com (the “Website”) Website to the extent the Website is accessed or used in relation to any, documents, materials or other content primarily related to SOPUS or the Shell brand in general (the “Content”). Where these Terms refer to a specific subset of persons using the Website, those Terms are applicable only to the designated subset of persons. All Terms not specifically designated as applicable to a subset of persons will be applicable to all persons accessing or using the Website. Please read the Terms of Use carefully before you start to use the Website. By clicking to accept or agree to these Terms of Use, or by your Use of the Website, you confirm that you have read, understood, accept and agree to be bound and to abide by these Terms and any other applicable law. 3. Changes to the Terms of Use

SOPUS may revise and update these Terms from time to time and in our sole discretion We may change these Terms at any time without notice, effective upon posting the amended Terms and Conditions of Use to the Website. In the event that the Terms are amended, you may be asked to accept those revised Terms when you next use the Website. Any use of the Website thereafter will be on the basis of those revised Terms.

4. Acknowledgments

By accepting these Terms of Use, you acknowledge your understanding that:

1. Your access to, use of, or interaction with (collectively, “Use”) the Website and the Content is voluntary as between you and SOPUS;

SOPUS will use the Website to share Content that includes communications about current and forthcoming national and/or regional sales and marketing promotions, loyalty programs and incentives and will make available to you training Content regarding the same. From time to time, SOPUS may use the Website to communicate issues related to our systems and programs but will not direct the manner or means in which you accomplish your operations, day to day tasks or activities.

3. SOPUS DOES CURRENTLY OWN, OPERATE, AND MANAGE SHELL-BRANDED RETAIL OUTLETS IN THE UNITED STATES (the “SOPUS Owned Retail Outlets”), SOPUS DOES CONTROL, OVERSEE AND DICTATE THE DAY TO DAY OPERATIONS AT THE SHELL OWNED RETAIL OUTLETS. HOWEVER, FOR THE VAST MAJORITY OF OUTLETS, SOPUS SELLS MOTOR FUELS TO WHOLESALE COMPANIES THAT IN TURN RE-SELL MOTOR FUEL TO RETAIL OUTLETS THAT HAVE BEEN PERMITTED TO DISPLAY “SHELL” MARKS OR IDENTIFICATIONS (the “Retail Outlets”). UNLESS YOU ARE EMPLOYED AT A SOPUS OWNED RETAIL OUTLET, NEITHER YOU NOR YOUR EMPLOYER ARE AN EMPLOYEE, AGENT, OR PARTNER OF SOPUS, ITS AFFILIATES OR ITS PARENT COMPANY, AND NO EMPLOYMENT OR AGENCY RELATIONSHIP IS CREATED BY YOUR USE OF THE WEBSITE OR THE CONTENT;

4. To the extent you Use the Website or the Content, said Use must be pursuant to the direction of your employer;

5. SOPUS does not control the manner or means by which you Use the Website or the Content;

6. Your employer is solely responsible for the terms and conditions of your employment, including but not limited to those terms and conditions of employment which may be associated with your Use of the Website and the Content, so please check with your employer or review your employer’s policies regarding Use of the Website;

7. SOPUS will not be responsible for any costs, including but not limited to data charges or fees, associated with use of your personal mobile device to Use the Website or its Content; and

8. Shell Oil Products US, its parent company and various affiliates are separate legal entities. When you Use the Content, “Shell” is sometimes used for convenience where references are made to those entities individually or collectively. Likewise, the words “we”, “us” and “our” may also be used. These references do not reflect the operational or corporate structure of, or the relationship between SOPUS, its parent company and its various affiliates.

If you print off, copy or download any part of the Content in breach of these Terms of Use, your right to Use the Website will cease immediately and you must, at SOPUS’ option, return or destroy any copies of the Content you have made.

6. Compatibility of the Website with Your Hardware and Software

SOPUS does not represent or warrant that the Use of this Website, Content or of any file or program available for download and/or execution from or via this Website will be compatible with all hardware and software that may be used by you and excludes any liability in contract, tort (including negligence), breach of statutory duty, restitution or otherwise for any damage, indirect or consequential loss (including without limitation pure economic loss, loss of profit, loss of business, depletion of goodwill and like loss) howsoever caused arising out of or in connection with the use of this Website, or the use, accessing, downloading of any information, including without any limitation, as a result of any computer virus, error, defect or suchlike.

SOPUS has the right to disable any username or password, whether chosen by you or allocated by it, at any time, if, in the opinion of SOPUS, you have failed to comply with any of the provisions of these Terms of Use. You are responsible for any actions that take place while using Website account or while using the Website via the device and we are not responsible for any loss that results from the unauthorized use of your username and/or password, with or without your knowledge.

For SOPUS Content, You acknowledge and agree that the Content, information, and advice contained in or provided via the Website are confidential to SOPUS. You agree to maintain such Content, information and advice in strict confidence and not to disclose or provide access thereto to any unauthorized person or entity. By accepting these Terms, you agree that you are not accessing, or will not access, the Website from any of the listed Generally Embargoed Countries or Highly Restricted Countries. Countries classified by SOPUS or its affiliates as Generally Embargoed or Highly Restricted are: Cuba, Iran, Sudan, Syria, North Korea and Belarus. 15. Assignment

We may transfer our rights and obligations connected with the Website to another organization, but this will not affect your rights or our obligations under these Terms.
